Order Terms

These Order Terms are presented at checkout and accepted by checking "I agree to the Terms of Service" and completing payment. This page holds the Order Summary for every current self-serve product sold through Stripe Checkout, today the Part 2 Alignment Review and the Part 2 Small-Program Alignment (each, a "Service"), from Dang's Solutions, LLC, a Washington limited liability company ("we," "us"). By checking the acceptance box and completing payment, you ("Client," "you") agree to the Order Terms below for the Service you purchased, which form a binding agreement under the ESIGN Act and the Uniform Electronic Transactions Act. These Order Terms incorporate our Terms of Use and Privacy Policy by reference; if there is a conflict between those terms and this document as to your purchase, this document controls.
This page carries one Order Summary per self-serve product. Check the one that matches what you purchased. Sections 2 onward are the standard clauses that apply to every product on this page unless a summary states otherwise. Future self-serve products get their own Order Summary added here rather than a new page, since Stripe Checkout can only point its consent checkbox at one Terms of Service URL for the whole account.
1. Order Summaries
Part 2 Alignment Review

Part 2 Small-Program Alignment

The Alignment Review's prioritized, exposure-tagged findings, plus skill-drafted corrected documents for the gaps found (consent, notice, redisclosure, and QSO/BAA flow-through language), drawn from a maintained Part 2 template library, with a short human ratification pass. Does not include bespoke policy authoring, multi-site work, or board materials. That is the Alignment Project. |

2. The Service
We provide the Service you purchased as described in its Order Summary above and in the product description presented to you before checkout. For the Part 2 products above, we assess what your posted notice and other documents say against what the 2024 Part 2 final rule requires, never an assertion about how your program handles records.
3. Fee and payment
The fee is stated in the Order Summary for the Service you purchased and is charged in full at checkout through our payment processor, Stripe. Fees are exclusive of taxes; you are responsible for applicable sales, use, and similar taxes.
4. What we need; no PHI
Provide the materials described in the product description for the Service you purchased: for example, your posted patient notice, blank or sample consent and policy templates, and vendor agreements. Do not upload or send protected health information ("PHI") or 42 CFR Part 2 patient-identifying information. If you do, we will not use it, will notify you, and will securely delete it. Our self-serve products are designed to be performed without PHI; an engagement that will involve PHI or Part 2 records requires a Business Associate Agreement and, where applicable, a Qualified Service Organization Agreement, and is out of scope for a click-to-accept purchase.
5. Delivery
We deliver the Service within the timeframe stated in its Order Summary, beginning when we have received the materials described in the product description. If we anticipate a delay, we will tell you.
6. Refunds (default rule)
If you have not yet sent materials and we have not begun work, you may request a full refund. Once we have begun work or delivered the Service, the fee is earned and non-refundable.
7. Not legal advice
The Service is compliance consulting or a compliance-analysis tool, not a legal service. Nothing in this Agreement creates an attorney-client relationship between you and Dang's Solutions, LLC or Dan Gonzalez, and no deliverable is legal advice or a legal opinion. You are responsible for obtaining independent legal counsel on legal questions, including the legal sufficiency of any policy, form, notice, or determination. Compliance analyses and tools, including Rote platform and skill outputs, are analytical aids for qualified professionals to review, not a substitute for legal judgment.
8. Your data and intellectual property
Your documents remain yours. You receive the Service's deliverable for your own internal compliance use. We retain our methodology, templates, skills, and know-how, as described in our Terms of Use.
9. Disclaimers and limitation of liability
Except for performing the Service in a professional manner, the Service is provided "as is," with no implied warranties and no guaranteed regulatory outcome. To the maximum extent permitted by law, our aggregate liability arising from your purchase is limited to the fee you paid for the Service giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.
10. Upgrading to a larger engagement
If you later engage us for a larger engagement covering the same program, for example a Part 2 Alignment Project or Part 2 Maintenance, that engagement is governed by a separate Master Services Agreement and Statement of Work, not by these Order Terms. Any credit toward that engagement is as stated in the applicable Order Summary above, or in writing at the time you upgrade.
11. Changes to these Order Terms
We may update Sections 2 through 13 of these Order Terms from time to time for future orders, and add or retire Order Summaries as our self-serve product lineup changes; the version you accepted at checkout governs your purchase and is archived with your order record.
12. Governing law
These Order Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules.
